Importing a Counterparty Initiated Contract

Introduction

Zoho Contracts allows you to efficiently manage contracts initiated outside your organization by importing them into your system. Whether the contract is in draft form or already signed, you can record and manage its complete lifecycle just like an internally initiated contract.

 

This article explains how to import both Draft and Signed counterparty-initiated contracts.

Step-by-Step Instructions

 

Importing a Draft Contract

Use this option when the counterparty shares a draft version of the contract for review and negotiation.

 

Steps to Import a Draft Contract:

  1. Go to the Contracts tab at the top of the page.
  2. Click Import Contract at the top-right corner of the contract listing page.
  3. In the Contract Initiated By Party dropdown, select Counterparty.
  4. In the Contract Status dropdown, select Draft.
  5. Choose the appropriate Contract Type, then click Continue.
  6. Fill out the Contract Details form, then click Next.
  7. In the Upload Document section:
    • Drag and drop the draft contract document, or
    • Click inside the section to browse and upload the file from your computer.
  8. Enter the Received Date and Time.
  9. If needed, click Previous to go back and edit the contract details.

Click Import to complete the process.

The contract will be imported with a status of In Negotiation – Review Pending, along with the uploaded draft document.

 

Important Notes:

  • You can upload files in .doc, .docx, or .rtf
  • Maximum file size: 10 MB.
  • You can re-upload the draft document while the contract is in the In Negotiation – Review Pending
  • Time-sensitive fields (Effective Date, Expiration, etc.) will follow the selected Time Zone.
    • To choose a different time zone, select Other and pick your preferred time zone.
    • You can update the time zone during the In Negotiation – Review Pending

Importing a Signed Contract

Use this option when the contract has already been signed by the counterparty and is ready to be activated and managed post-execution.

 

Steps to Import a Signed Contract:

  1. Go to the Contracts tab at the top of the page.
  2. Click Import Contract at the top-right corner of the contracts listing page.
  3. In the Contract Initiated By Party dropdown, select Counterparty.
  4. In the Contract Status dropdown, select Signed.
  5. Choose the appropriate Contract Type, then click Continue.
  6. Fill in the Contract Details form, then click Next.
  7. In the Upload Document section:
    • Drag and drop both the signed contract document and the digital signature certificate, or
    • Click inside the section to browse and upload files from your computer.
  8. If needed, click Previous to go back and make changes to the contract details.
  9. Click Import to finalize the process.

The contract will be imported with a Signed status and will automatically become Active on the Effective Date specified in the contract details.

 

Important Notes:

  • Accepted file format: .pdf
  • Maximum file size: 100 MB (per file)
  • You can re-upload the signed document while the contract is in the Signed
  • Time-related fields will follow the selected Time Zone (Organization, Counterparty, or custom).
