Importing a Counterparty Initiated Contract

Zoho Contracts lets you import contracts initiated outside your organisation, whether they arrive as a draft or already signed, so you can manage their full lifecycle just like an internally created contract.

How to import a draft contract

Use this when a counterparty shares a draft version for review and negotiation.

  1. Go to the Contracts tab.
  2. Click Import Contract at the top right of the contract listing page.
  3. In Contract Initiated By Party, select Counterparty.
  4. In Contract Status, select Draft.
  5. Choose the contract type and click Continue.
  6. Fill out the Contract Details form and click Next.
  7. In Upload Document, drag and drop the draft file or browse to upload it, then enter the received date and time.
  8. Click Import to finish.

The contract is imported with a status of In Negotiation, Review Pending, along with the uploaded draft.

Important notes

  • Accepted formats: .doc, .docx or .rtf, up to 10MB.
  • You can re-upload the draft while the contract is In Negotiation, Review Pending.
  • Time sensitive fields, such as effective date and expiration, follow the selected time zone, which can be changed while the contract is in this status.

How to import a signed contract

Use this when the contract has already been signed by the counterparty.

  1. In Contract Initiated By Party, select Counterparty.
  2. In Contract Status, select Signed.
  3. Choose the contract type and click Continue.
  4. Fill in the Contract Details form and click Next.
  5. In Upload Document, upload both the signed contract and the digital signature certificate.
  6. Click Import to finish.

The contract is imported with a Signed status and automatically becomes Active on the effective date specified in the details.

Important notes

  • Accepted format: .pdf, up to 100MB per file.
  • You can re-upload the signed document while the contract is in Signed status.
  • Time related fields follow the selected time zone, organisation, counterparty, or a custom one.

What file formats can I upload for a draft counterparty contract?

What status does a contract get when I import a signed document?
