Importing a Counterparty Initiated Contract

Estimated reading: 2 minutes 175 views

Importing a counterparty initiated contract brings a document the other party created into Zoho Contracts, so it can be tracked, negotiated or managed alongside the contracts you author yourself.

Why import a counterparty contract

When a vendor, client or partner sends over their own draft or a contract they have already signed, importing it into Zoho Contracts keeps every agreement in one place, with the same visibility over status, obligations and history as contracts you create.

What you can import

  • A draft contract, still open for review and negotiation.
  • A signed contract, already executed by the counterparty, for post-signature tracking.

Both routes are started from Contracts > Import Contract, selecting Counterparty as the initiating party and the appropriate status, then uploading the relevant document or documents.

Frequently asked questions

What is the difference between importing a draft and a signed counterparty contract?

A draft import is used when the counterparty shares a document still open for review and negotiation. A signed import is used when the contract has already been executed and you need it tracked from that point on.

Do I need the digital signature certificate to import a signed contract?

If the counterparty’s signing tool provided one, it should be uploaded alongside the signed document so the record is complete.
