Managing Counterparty Initiated Contracts

Introduction

Managing a counterparty-initiated contract includes updating draft documents, editing contract details, tracking revisions, and performing key actions such as copying, downloading, or deleting contracts.

Step-by-Step Instructions

 

Re-upload Draft Document

  1. Go to the Contracts tab.
  2. Open the contract in In Negotiation – Review Pending state.
  3. Click More (top-right) → Re-upload Document.
  4. Upload the draft contract received from the counterparty.
  5. Click Upload.

Notes:

  • Supported formats: .doc, .docx, .rtf
  • Maximum file size: 10 MB

Edit Contract Information

  1. Go to the Contracts tab.
  2. Open the contract.
  3. In the left panel, select the Summary tab.
  4. Click Edit (top-right).
  5. Update the required fields in the Edit Contract Details form.
  6. Click Update.

Notes:

  • All fields are editable in the Draft state.
  • Certain fields are always editable, regardless of state:
    • Description
    • Requester Name
    • Requester Department
    • Termination Notice Period
    • Send Expiration Reminder
    • Amount Type
    • Amount
    • Tax
  • Only the contract owner can edit contract fields. (See Sharing and Collaboration for details.)

Add and Manage Attachments

 

Adding and managing attachments works the same way as for organization-initiated contracts.

View Contract Revisions

 

View Versions

  1. Go to the Contracts tab.
  2. Open the contract.
  3. In the left panel, click MoreRevisions.

4. All contract versions will be listed in the Revisions tab.

5. Select a version to view it in the document viewer.

 

Apply Filters

  1. In the Revisions tab, click Filter By.
  2. Specify the required filter criteria.

Download a Version

  1. In the Revisions tab, click More next to the version you want.
  2. Under Download As, select a file format.
  3. The version will download to your system.

View Contract Activities

 

Viewing activities for a counterparty-initiated contract is the same as for an organization-initiated contract.

View Agreement History

 

Agreement history is managed the same way as for organization-initiated contracts.

Download a Contract

  1. Go to the Contracts tab.
  2. Open the contract.
  3. Click More (top-right) → Download Document.
  4. Choose the Download Format and Download Option.
  5. Click Download.

Copy a Contract

  1. Go to the Contracts tab.
  2. Open the contract you want to copy.
  3. Click More (top-right) → Create a Copy.
  4. Review the Create a Copy form (pre-filled with existing values).
  5. Modify values as needed.
  6. (Optional) Copy document field values, comments, collaborators, and signer details from the Copy Options section.
  7. Click Save and Continue.

Notes:

  • When copying a signed contract, you will be prompted to upload a draft document in the next step.
  • Supported formats: .doc, .docx, .rtf
  • Maximum file size: 10 MB

Delete a Contract

  1. Go to the Contracts tab.
  2. Find the contract you want to delete.
    • Click More (next to the contract) → Delete Contract.
    • OR open the contract → click More (top-right) → Delete Contract.

Notes:

  • Contracts in Signed or Active state cannot be deleted.
