Negotiating a Counterparty Initiated Contract

Introduction

Negotiating a counterparty-initiated contract involves suggesting edits, adding comments, sending reviewed versions, and tracking changes across review cycles. Below are the key actions you can take.

 

Suggest Edits and Add Comments

  1. Go to the Contracts tab.
  2. Open the contract in In Negotiation – Review Pending state.
  3. Edit the document directly to suggest changes (track changes is enabled by default and displayed as redlines).
  4. To add a comment:
    • Highlight the text → click Add Comment on the toolbar.
    • Enter your comment in the right panel → click Add.
  5. When finished, click Finish Review at the top.

Notes:

  • Track changes is always on, so all edits are visible to the counterparty.
  • You can also add comments from the right-click menu or smart toolbar (requires Edit permission).

Send Reviewed Contract to Counterparty

  1. Open the contract in In Negotiation – Review Completed state.
  2. Click Send Reviewed Contract at the top.
  3. In the dialog box:
    • The counterparty’s primary contact will auto-populate in the To field.
    • Add CC recipients (optional).
    • Enter your message.
    • (Optional) Check Include Review Summary to display the number of changes and comments.
  4. Click Send.

Notes:

If no primary contact exists, the contract owner must select one. The chosen recipient will be set as the counterparty’s contact.

  • You can attach up to 5 files (max 15 MB total).
  • Proceed for Signature appears only if there are no comments or changes.
  • Include Review Summary appears only if comments or changes exist.

Re-review Contract

  1. Open the contract in In Negotiation – Review Sent state.
  2. Click MoreRe-review Contract.
  3. The contract returns to Review Pending state.
  4. Suggest edits and add comments again.
  5. Resend the reviewed contract.

Upload a New Version

 

When a revised document is received from the counterparty:

  1. Open the contract in In Negotiation – Review Sent state.
  2. Click Upload New Version.
  3. Drag and drop the new file (or browse to upload).
  4. Select the Received Date and Time.
  5. Click Upload. The contract moves back to Review Pending.
  6. Suggest edits and resend as needed.

Notes:

  • Supported formats: .doc, .docx, .rtf.
  • Maximum file size: 10 MB.

Compare Changes

 

  1. Open the contract in In Negotiation – Review Sent state.
  2. Click MoreCompare Changes.
  3. Select a previous version from the Compare Version dropdown.
  4. Click Compare.

The comparison view highlights differences:

  • Each member’s changes are shown in a unique color.
  • Use Previous and Next arrows (top-right) to navigate edits.

View Negotiation History

  1. Open the contract in In Negotiation – Review Sent state.
  2. Click MoreNegotiation History.
  3. Select a review cycle in the dialog box to view past activity.

Mark as Negotiated

  1. Open the contract in In Negotiation – Review Sent state.
  2. Click Mark As Negotiated at the top.
  3. The contract will be marked as negotiated.

View Negotiation Activity

  1. Open the contract you want to review.
  2. In the left details panel, select the Negotiations tab.
  3. Under Activity, view all past negotiation cycles.
  4. For each cycle:
    • Click View Document to see the contract version received.
    • Click View under Review Summary to see the counterparty’s comments and edits.

 This streamlined format makes it easier for users to quickly find the exact step they need during contract negotiations.
